In a portfolio share sale, a purchaser buys 100% of the shares in the company that owns the properties, rather than buying each property individually.
This method allows landlords to sell entire portfolios in one transaction, which can result in a discount for the buyer and a quicker route to expanding their BTL holdings. Stamp duty on share purchases is 0.5% of the company’s value, compared to a 5% surcharge on top of the standard rate for individual buy-to-let property purchases. Properties sold in this way may already be tenanted and operating within an established structure, reducing operational disruption for investors.
There is no change of ownership on individual property titles, which avoids the time and legal costs associated with transferring multiple registered titles. However, risks remain, including the potential for inheriting historic tax, legal, or contractual liabilities if the company is not thoroughly investigated. HMRC can pursue the company for previous errors, and Capital Gains Tax is calculated from the original purchase date of the properties, which could result in a significant tax bill if the properties are sold individually in the future. Buyers must also acquire all assets within the company, as cherry-picking properties is not possible.
